These Terms of Use (“Terms”) apply to your use of the websites, mobile applications, learning portals, and web-based software applications operated by US Compliance Institute, LLC and its subsidiaries and affiliates (collectively, “USCI,” “we,” “us,” or “our”) that link to these Terms (collectively, the “Site”).
By accessing or using the Site, you agree to be bound by the Terms then in effect. If you do not agree to these Terms, you must not access or use the Site.
We may revise these Terms at any time. Your continued use of the Site following the publication of revised Terms constitutes your acceptance of those changes.
If you access the Site as an authorized administrator, employee, or representative of a corporate or enterprise customer, and a separate written services agreement governs your organization’s use of our services, that agreement will control to the extent of any conflict with these Terms.
Privacy
Our Privacy Policy applies to your use of the Site and is incorporated into these Terms by reference. It explains how we collect, use, disclose, store, and safeguard personal information.
Information about cookies and similar tracking technologies is available in our Cookie Policy.
Intended Users
The Site is intended for individuals who have reached the legal age of majority in their jurisdiction, whether acting in their personal capacity or on behalf of a legal entity.
By accessing or using the Site, you represent and warrant that:

You have the legal capacity to enter into these Terms.

You have the authority to bind any organization on whose behalf you access or use the Site.
Use of the Site
The Site and all information, course content, assessments, training materials, documentation, videos, graphics, design elements, software, features, functionality, and other materials made available through the Site are collectively referred to as the “Content.”
The Site and Content are owned by USCI or its licensors. USCI and its licensors retain all rights, title, and interest in the Site and Content, including all applicable intellectual property rights.
Except for the limited rights expressly granted under these Terms, no licence, ownership right, or other interest in the Site or Content is granted or transferred to you.
Educational Materials
Certain Content is provided for informational or educational purposes, including training courses, whitepapers, blog posts, compliance checklists, sample policies, webinars, downloadable resources, and similar materials (collectively, “Educational Materials”).
You may use the Educational Materials solely for your personal education or internal business purposes, provided that you:

Preserve all copyright, trademark, and proprietary notices.

Do not modify, adapt, translate, or create derivative works from the Educational Materials.

Do not reproduce, republish, sell, distribute, publicly display, transmit, sublicense, or otherwise make the Educational Materials available beyond their permitted internal use.

Do not share course access, account credentials, certificates, assessments, or downloadable materials with unauthorized individuals.

Do not use the Educational Materials, or any information derived from them, to develop, train, improve, evaluate, or power an artificial intelligence system, machine learning model, compliance technology, training product, or competing service.
Any unauthorized use of the Educational Materials automatically terminates your permission to access or use them and may result in the suspension or termination of your account.
Refund and Cancellation Policy
Refund requests must be submitted within fourteen (14) calendar days of the original purchase date.
To qualify for a refund, you must not have accessed or completed more than twenty percent (20%) of the purchased course content.
All refund requests must be submitted in writing to [email protected] and should include the purchaser’s name, email address, order information, course title, and reason for the request.
Refunds will not be provided:

After the fourteen-day refund period has expired.

Once more than twenty percent (20%) of the course content has been accessed or completed.
-
For certificates that have already been issued, downloaded, or claimed.
-
Where course content or downloadable resources have been substantially consumed, copied, or misused.
-
Where the purchase was made through a third-party marketplace whose separate refund terms apply.
-
In cases involving suspected fraud, misuse, account sharing, repeated refund requests, or abuse of the refund process.
Submitting a cancellation or refund request does not automatically guarantee approval. USCI reserves the right to review course-access records and other relevant account information before approving or denying a request.
Approved refunds will generally be returned to the original payment method. Processing times may vary depending on the payment provider or financial institution.
To the extent required by applicable law, nothing in this section limits any non-waivable consumer rights or statutory refund rights.
No Legal or Professional Advice
USCI provides Educational Materials for informational and training purposes only.
USCI does not provide legal advice, regulatory advice, tax advice, accounting advice, or professional compliance determinations.
Nothing available through the Site constitutes legal counsel, creates an attorney-client relationship, or guarantees that a person or organization will satisfy any legal, regulatory, licensing, certification, or professional requirement.
You are solely responsible for obtaining independent legal or professional advice concerning the laws, regulations, standards, and compliance obligations applicable to you or your organization.
Site Modification and Discontinuation
We reserve the right, at any time and with or without notice, to:

Modify, suspend, or discontinue any part of the Site.

Restrict access to certain features, services, or Content.

Update, replace, correct, or remove Content.

Change course structures, assessments, instructors, features, availability, or technical requirements.

Establish or modify limits concerning access to or use of the Site.
You may discontinue your use of the Site at any time. However, these Terms will continue to apply to your prior use of the Site and to any provisions that are intended to survive termination.
Prohibited Uses
As a condition of using the Site, you agree that you will not:

Use the Site for any unlawful, fraudulent, deceptive, or unauthorized purpose.

Violate any applicable federal, state, local, or international law or regulation.

Infringe or misappropriate any intellectual property, privacy, publicity, contractual, or other rights.

Attempt to gain unauthorized access to any account, system, server, network, database, or restricted area.

Interfere with or disrupt the security, availability, performance, or operation of the Site.

Introduce malware, viruses, malicious code, or other harmful technologies.

Scrape, crawl, data-mine, harvest, extract, reverse engineer, decompile, or otherwise exploit the Site or Content.

Use automated systems, bots, scripts, or similar technologies to access or interact with the Site without our written authorization.

Share login credentials or allow unauthorized users to access your account.

Circumvent seat-based licensing, payment controls, technical restrictions, or access limitations.

Copy, resell, sublicense, distribute, or commercially exploit any course or Content.

Use the Site or Content to create, support, improve, or market competing compliance training products or services.

Misrepresent your identity, qualifications, completion status, assessment results, or entitlement to a certificate.
We reserve the right to investigate suspected violations, suspend or terminate access, preserve relevant evidence, and pursue available legal remedies.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.
You agree to provide accurate, current, and complete account information and to update that information when necessary.
You must notify USCI promptly if you suspect unauthorized access, credential theft, account misuse, or any other security incident affecting your account.
USCI is not responsible for losses resulting from your failure to protect your credentials or comply with these account-security obligations.
Course Completion and Certificates
Course completion requirements may include viewing required content, completing assessments, achieving a minimum passing score, or satisfying other stated requirements.
Certificates issued by USCI confirm completion of the applicable USCI course requirements. Unless expressly stated otherwise, a certificate does not constitute:

A government-issued licence.

Professional licensure or authorization.

Approval from a regulatory body.
-
Guaranteed compliance with any law or industry standard.
-
Guaranteed employment, promotion, accreditation, continuing education credit, or professional recognition.
Employers, regulators, professional associations, licensing bodies, and other third parties determine whether they will accept or recognize a course or certificate.
USCI may withhold, cancel, or revoke a certificate where there is evidence of fraud, identity misrepresentation, account sharing, assessment misconduct, payment disputes, or violation of these Terms.
Third-Party Links and Services
The Site may contain links to third-party websites, platforms, payment processors, applications, resources, or services (“Linked Sites”).
USCI does not own or control Linked Sites and does not endorse or assume responsibility for their content, security, availability, privacy practices, terms, products, or services.
Your use of Linked Sites is at your own risk and is governed by the terms and policies of the relevant third party.
To the maximum extent permitted by law, USCI disclaims liability for any loss, damage, or dispute arising from or relating to your use of a Linked Site.
Disclaimer of Warranties
THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, USCI DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

USCI DOES NOT WARRANT THAT:

THE SITE WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

THE CONTENT WILL ALWAYS BE COMPLETE, ACCURATE, CURRENT, OR APPLICABLE TO YOUR CIRCUMSTANCES.

DEFECTS OR ERRORS WILL BE IDENTIFIED OR CORRECTED.

THE SITE OR ITS SERVERS WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

USE OF THE SITE OR COMPLETION OF A COURSE WILL PRODUCE ANY PARTICULAR LEGAL, REGULATORY, PROFESSIONAL, EDUCATIONAL, OR BUSINESS RESULT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, USCI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
This exclusion includes, without limitation, damages relating to:

Loss of profits, revenue, opportunities, goodwill, or anticipated savings.

Loss, corruption, or unauthorized disclosure of data.

Business interruption.

Regulatory investigations, fines, sanctions, or penalties.

Reliance on Educational Materials.

Failure to obtain employment, professional recognition, certification, accreditation, or regulatory approval.
Where liability cannot lawfully be excluded, USCI’s total aggregate liability arising from or relating to the Site, Content, or these Terms shall not exceed the greater of:

One hundred U.S. dollars ($100); or

The amount you paid directly to USCI during the twelve (12) months immediately preceding the event giving rise to the claim.
Your sole remedy for dissatisfaction with the Site or Content is to discontinue your use of the Site, subject to any refund rights expressly provided under these Terms or required by applicable law.
Indemnification and Release
You agree to defend, indemnify, and hold harmless USCI and its officers, directors, employees, contractors, affiliates, licensors, and agents from and against claims, actions, liabilities, losses, damages, judgments, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

Your violation of these Terms.

Your misuse of the Site or Content.

Your violation of applicable law or regulation.

Your infringement or violation of any third-party right.

Activity conducted through your account.

Information, content, or materials submitted by you.
To the maximum extent permitted by applicable law, you release USCI from claims arising from your use of or inability to use the Site, except where such a release is prohibited by law.
Binding Arbitration and Class Action Waiver
If a dispute arises between you and USCI relating to these Terms, the Site, the Content, or any purchase:

The parties agree to first attempt to resolve the dispute informally for forty-five (45) days following written notice of the dispute.

If the dispute remains unresolved, it shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its applicable rules and the Federal Arbitration Act.

Arbitration shall take place in the State of [Insert State], unless the parties agree otherwise or applicable law requires another location.

Claims may be brought only in an individual capacity and not as part of any class, collective, consolidated, private attorney general, or representative action.

The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court with appropriate jurisdiction.
Nothing in this section prevents either party from seeking relief in a small claims court where the claim qualifies or seeking temporary or emergency injunctive relief concerning intellectual property, unauthorized access, misuse, or security threats.
Governing Law and Limitation Period
These Terms are governed by the laws of the State of [Insert State], without regard to its conflict-of-law principles.
To the maximum extent permitted by applicable law, any claim arising from or relating to these Terms, the Site, or the Content must be filed within one (1) year after the claim arose. Otherwise, the claim will be permanently barred.
Copyright Infringement and DMCA Notices
If you believe that Content available through the Site infringes your copyright, you may submit a written notice containing the information required under 17 U.S.C. § 512(c)(3)(A) to:

USCI may remove or restrict access to allegedly infringing material and may terminate the accounts of repeat infringers where appropriate.
Termination
USCI may suspend, restrict, or terminate your account or access to the Site where we reasonably believe that you have:

Violated these Terms.

Engaged in fraud, misuse, or unauthorized account sharing.
-
Failed to pay applicable fees.
-
Created security, legal, operational, or reputational risk.
-
Used the Site in a manner that could harm USCI, its users, or third parties.
Upon termination, your right to access and use the Site and Content will immediately end. Provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions intended to survive will remain in effect.
Entire Agreement and Severability
These Terms, together with our Privacy Policy, Cookie Policy, and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and USCI concerning your use of the Site.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be limited or modified to the minimum extent necessary. The remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
